General terms for websites, digital systems, and managed infrastructure.
These terms are read together with the Invoice, Project Scope & Deliverables, quotation if any, service schedules, and other written approvals carrying the same project reference. They form one agreement. Where documents differ, the more specific term governs the matter it addresses.
Payment of an invoice, written approval of the Project Scope, or commencement at the Client's request constitutes acceptance of these terms and the related project documents.
a. Work includes only the deliverables, features, pages, integrations, and services listed in the approved project documents.
b. New features, workflow changes, additional pages or integrations, major migration, or other out-of-scope work is handled as a change request and may affect fees and schedule.
c. Unless stated in writing, services exclude copywriting, photography, content production, paid advertising, unlimited maintenance, and guarantees of SEO ranking or business outcomes.
a. Revision rounds follow the Invoice or Project Scope. If unspecified, the standard limit is 2 rounds.
b. One revision round means one consolidated set of Client feedback submitted at the same review stage.
c. Reproducible defects that make delivery differ from scope are not revisions. New requests or changes to approved decisions are additional work.
a. The Client supplies required content, logos, materials, access, data, and approvals on time and warrants the right to use those materials.
b. The Client is responsible for information accuracy, content legality, privacy policies, and business obligations unless expressly included in Ordemis Systems' services.
c. Delayed materials, feedback, payment, or access may move the delivery schedule without constituting provider delay.
a. The schedule starts after required initial payment, core materials, and access have been received.
b. The Client reviews work at each stage. Stage approval or no material correction after a review request may be used to continue to the next stage.
c. Handover occurs through a live website, access, files, or another scoped method after related payment obligations are met.
a. Amounts, instalments, currency, and due dates follow the Invoice. Ordemis Systems may pause work or services after a missed due date.
b. Domain, server, licence, plugin, third-party service, and other committed costs are non-refundable once purchased or committed.
c. Pricing excludes renewals and continuing services not listed on the Invoice.
This section applies when domain, hosting, cloud, VPS, deployment, or infrastructure management appears in the Invoice, Project Scope, or Managed Infrastructure Schedule.
a. Scope, provider, capacity, service period, usage limits, support, and fees follow the approved project documents.
b. Domain registration periods may differ from hosting, management, support, licence, or other service periods.
c. Renewal is not included unless stated in writing. Provider, licence, and continuing management costs may be invoiced separately before expiry.
d. Third-party provider availability, performance, policy, pricing, incidents, and service changes are not fully controlled by Ordemis Systems.
e. Registrant status, account ownership, access, backups, and transfer procedures follow the Managed Infrastructure Schedule or written agreement.
a. After full payment, the Client receives the right to use the project-specific final deliverables for the agreed purpose.
b. Ordemis Systems retains its methods, reusable components, templates, libraries, internal tooling, know-how, and pre-existing material. Third-party components remain subject to their licences.
c. After publication, Ordemis Systems may show the Client name, public project view, and summary in its portfolio unless confidentiality is requested in writing.
a. Support and maintenance apply only for the stated period and scope. Website development does not include unlimited revisions or maintenance.
b. Reproducible defects that make delivery differ from scope will be reviewed during the agreed support period.
c. Changes caused by Client edits, attacks, credential negligence, browser or provider changes, third-party updates, new requirements, or work after support may incur additional fees.
a. Ordemis Systems applies reasonable technical measures but does not guarantee freedom from all outages, vulnerabilities, data loss, or unauthorised access.
b. Both parties must protect credentials and confidential data. The Client gives access only to authorised persons.
c. Registrar, cloud, VPS, email, database, analytics, CMS, and external library services remain subject to each provider's terms and limits.
a. Services may be suspended for late payment, unlawful use, security risk, or provider-term violations.
b. If the Client ends the project, completed work and committed third-party costs remain payable.
c. After service ends and all payments are met, Ordemis Systems will provide reasonable handover within scope and provider capability.
a. To the extent permitted by law, Ordemis Systems is not liable for indirect loss, lost profit, lost opportunity, or third-party provider disruption.
b. Ordemis Systems' direct liability for a project is limited to the amount paid by the Client under the related Invoice.
c. Delay or failure outside reasonable control is not a breach where reasonable recovery efforts are made.
a. The parties first seek to resolve disputes through good-faith communication and discussion.
b. These terms are governed by the laws of the Republic of Indonesia. Unresolved disputes may be submitted to a competent forum under applicable law.
